1. Introduction and acceptance
1.1 These Business Portal Terms and Conditions ("Terms") govern access to and use of the MyGatePass Business Portal (the "Portal") operated by MyGatePass FZ-LLC, a limited liability company registered with the Dubai Development Authority, registration number 104344, with its registered office at in5 Tech, Dubai Internet City, Dubai, United Arab Emirates ("MyGatePass", "we", "us", "our").
1.2 By creating an account, clicking "I agree", or using the Portal, you accept these Terms on behalf of yourself and the business you represent. If you do not agree, you must not use the Portal.
1.3 If you accept these Terms on behalf of a business, you confirm that you have the authority to bind that business. In that case, "you" and "your" refer to that business and each individual who uses the Portal on its behalf.
1.4 These Terms apply together with our Privacy Policy and any other policies we publish on the Portal, each as updated from time to time and incorporated by reference.
1.5 Effective Date: 25 September 2026.

3. The Services
3.1 The Portal lets Contractors create and maintain a Business Profile and make Submissions to Locations that use MyGatePass.
3.2 The Portal is currently provided free of charge to Contractors. Section 11 applies to any future fees.
3.3 MyGatePass is a technology provider only. We provide the software through which Contractors and Location Operators exchange information. We are not a party to any contract, permit, work order, engagement or access arrangement between a Contractor and a Location Operator.
3.4 We do not act as an agent, broker, employer, recruiter, insurer, safety consultant, certifying body or regulator for any party. We do not supervise, direct or control any work performed at a Location.
3.5 Any "verified", "vetted", "approved" or similar status shown on the Portal reflects only the checks, if any, described at the time on the Portal, or a decision made by a Location Operator. It is not a guarantee by MyGatePass of the Contractor's competence, legal compliance, insurance cover, safety record or suitability for any work.
4. Accounts and eligibility
4.1 The Portal is for business use only. You must be a legally constituted business, or an individual acting in the course of a trade or profession, and at least 18 years old.
4.2 You must provide accurate, current and complete registration information and keep it up to date.
4.3 You are responsible for all activity under your Account, including the acts and omissions of your Authorised Users. You must ensure each Authorised User complies with these Terms.
4.4 You must keep login credentials confidential, use strong passwords and any multi-factor authentication we offer, and notify us promptly at legal@mygatepass.com of any unauthorised access or security incident.
4.5 We may refuse registration, or require additional information to confirm your identity or business status, at our discretion.
4.6 One business may hold only one Account unless we agree otherwise in writing. Accounts may not be sold, transferred or shared with another business.
5. Business Profiles and Documents
5.1 You are solely responsible for your Business Profile. You warrant that all information and Documents you upload are true, accurate, complete, genuine, unaltered and not misleading.
5.2 You must keep Documents valid and current. You must promptly update or remove any Document that expires, is revoked, suspended or amended, or no longer reflects your circumstances. Expiry reminders the Portal may send are a convenience only and do not shift this responsibility to us.
5.3 Uploading forged, falsified, expired or another party's Documents is a material breach. We may suspend your Account immediately and may report the matter to the relevant Location Operators and competent authorities.
5.4 We may, but are not obliged to, review, check or validate any User Content. Any check we perform is limited in scope, may rely on third-party sources, and is performed for our own purposes. It does not create any duty of care to you or any other person.
5.5 Location Operators remain responsible for their own due diligence and for deciding whether a Contractor, its Personnel and its Documents meet their requirements and applicable law.
6. Submissions to Locations
6.1 When you make a Submission, you instruct and authorise us to share the selected parts of your Business Profile, including Personnel data and Documents, with that Location Operator.
6.2 Each Location Operator decides independently whether to accept, reject, request more information about, suspend or revoke any Submission, permit to work, event pass or site access. We have no control over, and no liability for, those decisions or their timing.
6.3 A Location Operator may impose its own terms, site rules, safety requirements, inductions and fees. Those are solely between you and that Location Operator.
6.4 Once shared, a Location Operator may retain and use Submission data under its own policies and its agreement with us. Withdrawing a Submission or deleting your Account stops future sharing but may not remove data a Location Operator already holds.
6.5 Any dispute with a Location Operator, including about access, payment, performance of work, safety incidents or removal from site, must be resolved directly with that Location Operator.
7. Acceptable use
You must not, and must not allow anyone else to:
- upload false, forged, misleading or unlawfully obtained information or Documents;
- impersonate any person or business, or misrepresent your affiliation with any Location;
- upload personal data of Personnel without a lawful basis and the notices and consents required by law;
- upload malware, or attempt to probe, scan, test, breach or bypass the security or access controls of the Services;
- scrape, harvest, crawl or extract data from the Services, or access them by automated means not provided by us;
- copy, modify, reverse engineer, decompile or create derivative works of the Services;
- resell, sublicense or commercially exploit the Services, or use them to build a competing product;
- use the Services to harass, defame or discriminate against any person, or for any unlawful purpose;
- interfere with or disrupt the Services or other users' use of them.
8. User Content
8.1 You retain ownership of your User Content.
8.2 You grant MyGatePass a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers and to Location Operators you submit to) licence to host, store, copy, process, transmit, display and adapt your User Content as needed to provide, secure, support and improve the Services, and to share it with Location Operators in line with your Submissions.
8.3 You also grant us a perpetual, irrevocable, royalty-free licence to use User Content in aggregated and de-identified form, which does not identify you or any individual, for analytics, benchmarking, product development and research.
8.4 You warrant that you have all rights, licences and consents needed to upload User Content and grant these licences, and that our use of it under these Terms will not infringe any third-party rights or law.
8.5 We may remove or restrict any User Content that we reasonably believe breaches these Terms or the law, or on request of a competent authority.
9. Data protection
9.1 We process personal data in line with our Privacy Policy and applicable UAE data protection law, including Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
9.2 For Personnel data you upload, you are responsible for having a lawful basis to collect it and share it with us and with Location Operators, and for giving Personnel any required notice, including that their data may be shared with Locations they are submitted to.
9.3 When a Location Operator receives a Submission, it processes that data under its own responsibility and policies.
9.4 We apply reasonable technical and organisational security measures appropriate to the nature of the data. No system is completely secure, and we cannot guarantee that unauthorised access will never occur.
9.5 Portal data is stored and processed in Microsoft Azure UAE North, with backup replication to Microsoft Azure UAE Central, both in the United Arab Emirates.
9.6 You must notify us without undue delay if you become aware of any inaccuracy in, or unauthorised use of, data in your Business Profile.
10. Intellectual property
10.1 MyGatePass and its licensors own all rights, title and interest in the Services, including the software, databases, designs, workflows, templates, trademarks, logos and all improvements, whether made by us or suggested by you.
10.2 Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Portal for your internal business purposes of managing your Business Profile and making Submissions.
10.3 If you send us feedback, ideas or suggestions, we may use them freely without obligation or payment to you.
10.4 You may not use the MyGatePass name, logo or trademarks, or suggest any endorsement or partnership, without our prior written consent. We may identify you as a Portal user in our marketing unless you ask us not to in writing.
11. Fees
11.1 Core Portal features are currently free for Contractors.
11.2 We may introduce paid plans, premium features or fees for specific services at any time. We will give at least 30 days' notice before charging for any feature you already use. You are never charged unless you expressly opt in to a paid feature.
11.3 Fees charged by a Location Operator are not MyGatePass fees and are governed by your arrangement with that Location Operator.
12. Disclaimers
12.1 To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability or non-infringement.
12.2 We do not warrant that the Services will be uninterrupted, error-free or secure, that any Submission will be delivered, processed or accepted, or that any Location will continue to use MyGatePass.
12.3 We make no representation about, and are not responsible for, any Contractor, Personnel, Location, Location Operator, or any work, event, access or permit arranged through the Services.
12.4 You are responsible for keeping your own copies of Documents. The Portal is not a records archive, and you should not rely on it as your only copy.
13. Limitation of liability
13.1 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or wilful misconduct.
13.2 Subject to 13.1, MyGatePass, its affiliates, and their directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, contracts, business opportunity, goodwill or data, however caused, even if foreseeable.
13.3 Subject to 13.1, we are not liable for any loss arising from: a Location Operator's acts, omissions or decisions; rejection, delay or revocation of any Submission, permit or access; inaccurate, expired or fraudulent User Content; any work, incident, injury or damage at a Location; or unauthorised access to your Account caused by your failure to keep credentials secure.
13.4 Subject to 13.1, our total aggregate liability arising out of or in connection with these Terms or the Services, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the fees you paid to MyGatePass in the 12 months before the claim arose and (b) AED 500.
13.5 You must bring any claim within 12 months of the date you became aware, or ought reasonably to have become aware, of it, to the extent permitted by law.
14. Indemnity
You will defend, indemnify and hold harmless MyGatePass, its affiliates, and their directors, employees and agents from and against all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or related to:
- your User Content, including any false, forged, expired or infringing Documents;
- your breach of these Terms or of applicable law, including data protection law;
- your processing of Personnel data or failure to give required notices;
- any work, service, conduct, incident, injury or damage involving you or your Personnel at any Location;
- any dispute between you and a Location Operator, your Personnel or any third party.
15. Suspension and termination
15.1 You may close your Account at any time through the Portal or by contacting legal@mygatepass.com.
15.2 We may suspend or restrict your Account, remove User Content, or block Submissions, immediately and without notice, if we reasonably believe that you have breached these Terms, that your Account poses a security, legal or safety risk, or that a competent authority requires it.
15.3 We may terminate your Account for convenience on 30 days' notice, or discontinue the Portal on 60 days' notice.
15.4 On termination, your right to use the Services ends. We may delete your User Content after a reasonable period, subject to our legal retention obligations. Data already shared with Location Operators is governed by section 6.4.
15.5 Sections 5.3, 6.4, 8.3, 8.4, 10, 12, 13, 14, 17 and 18, and any other provisions that by their nature should survive, survive termination.
16. Changes to the Services and Terms
16.1 We may change, add or remove features of the Services at any time.
16.2 We may update these Terms and will publish the revised version on this page with an updated date. For material changes we will give at least 14 days' notice by email or on the Portal. Continued use after the change takes effect means you accept the updated Terms. If you do not agree, you must stop using the Portal and close your Account.
17. Governing law and disputes
17.1 These Terms and any non-contractual obligations arising from them are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates.
17.2 The parties will first try to resolve any dispute in good faith within 30 days of written notice.
17.3 If not resolved, the courts of Dubai have exclusive jurisdiction, and each party waives any objection to that venue.
17.4 Nothing prevents MyGatePass from seeking urgent injunctive relief in any competent court to protect its intellectual property, confidential information or the security of the Services.
18. General
18.1 Entire agreement. These Terms, with the policies referred to in them, are the entire agreement between you and MyGatePass about the Portal.
18.2 Assignment. You may not assign or transfer these Terms without our consent. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets.
18.3 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of cloud or telecom providers, cyberattacks, government action, pandemics or natural events.
18.4 Severability. If any provision is found invalid or unenforceable, the rest remains in effect and the provision is modified to the minimum extent needed to make it enforceable.
18.5 No waiver. Failure to enforce a right is not a waiver of it.
18.6 No third-party rights. No Location Operator, Personnel or other third party may enforce these Terms, except our affiliates under sections 13 and 14.
18.7 Language. These Terms are drafted in English. If translated, the English version prevails to the extent permitted by law.
18.8 Electronic acceptance and notices. You agree that acceptance by clicking or use is valid. We may send notices to your Account email or post them on the Portal.
